Jay S. Rand Joins Frankfurt Kurnit as Co-Chair of the Corporate & Finance Group
March 9, 2016 New York, N.Y. - Frankfurt Kurnit Klein & Selz, PC has added Jay S. Rand as a partner and co-chair of the firm’s Corporate & Finance Group. Mr. Rand joined the firm Tuesday.
“Jay has long been recognized as a leading advisor to emerging tech and tech-enabled companies and their investors,” said Frankfurt Kurnit Managing Partner Jeffrey Greenbaum.
“Jay’s practice complements our existing transactional practice and enhances our depth of expertise and capabilities in financing transactions,” said Deborah Wolfe, co-chair of the Corporate & Finance Group. “I am thrilled that Jay is joining us.”
Jay Rand has extensive experience advising on entity formation, corporate governance, venture capital and other types of financing. He also advises clients on M&A transactions, strategic partnerships and licensing arrangements. Mr. Rand’s practice focuses in particular on clients in high-growth industries, such as digital media, FinTech, software, health and life sciences, and consumer goods and technologies. He also represents venture capital funds, private equity funds, angel investors and accelerators in investment and other transactional matters.
Some of Mr. Rand’s most recent transactional representations include:
- a marketplace lending platform in a strategic equity financing;
- a leading provider of “know your customer” data compliance services in the sale of the company;
- a new media platform for architects in a Series A institutional venture round; and
- an online specialty foods store in a Series A investment round.
Mr. Rand is a member of the adjunct faculty at Columbia Law School, where he teaches a course in High-Growth Entrepreneurship. He is also a frequent speaker and author of articles on issues critical to emerging companies, entrepreneurs and investors.
Mr. Rand is a graduate of University of Pennsylvania Law School (JD, 1987), where he was an editor of the Comparative Labor Law Journal, and The Johns Hopkins University (BA, Phi Beta Kappa, 1983). He is admitted to practice in New York.

Content Partners, LLC, a leading independent owner of major studio-distributed films and television shows, has acquired from Medstar Television 400 Forensic Files episodes, and international distribution rights to Forensic Files II. Created by Paul Dowling, the President and CEO of Frankfurt Kurnit client Medstar Television, Forensic Files is a pioneer of true crime television. The series aired from 1996—2011 on TLC, and is currently on CNN-owned HLN network, streamed on digital platforms by FilmRise, and distributed to television outlets around the world. Read more.

Frankfurt Kurnit Client Northwell Health Gets Big Win in Battle with NYU Langone Health System
In a battle between two of the largest healthcare systems in the New York metropolitan area, a New York federal court on March 1st handed an early win to Frankfurt Kurnit client Northwell Health. NYU Langone Health System (“NYU Langone”) sued Northwell Health alleging false advertising and trade dress infringement (i.e., infringement of the overall design and appearance of NYU Langone’s advertisements)—under state and federal law.
