We assist our clients with the organization of their business enterprises and with the planning, structuring, financing and execution of their business transactions, including mergers, acquisitions, divestitures, spin-offs, restructurings, recapitalizations and joint ventures. For tax-exempt organization clients, we help them obtain and maintain tax-exempt status and limit potential tax liabilities. We also help our clients establish and defend their tax positions in proceedings involving inquiries by, or disputes with, governmental tax authorities.
We advise our clients on tax issues related to their efforts to organize or reorganize their business enterprises, raise capital, forge new business alliances, organize and operate investment funds, preserve valuable tax attributes in distressed company restructurings and develop strategies and structures to efficiently manage tax costs and risks in transactions with international implications.

We assist our clients in identifying tax-saving opportunities, minimizing tax risks and responding to tax law changes affecting their business.
We assist our clients in taking advantage of tax-favored compensation arrangements, including deferred compensation plans, cash and equity-based incentive compensation plans and retirement and other benefit plans.

We work with creative talent to manage and limit their tax exposure, both domestically and in cross-border and multi-national settings.
Tax Positions, Examinations and Controversies
We assist our clients in properly establishing their tax positions, complying with applicable reporting and payment requirements, and defending their tax positions in examinations, administrative appeals and judicial proceedings.
With our Charitable Organizations Group, we regularly represent private foundations and public charities, including charitable, educational, arts, religious, cultural, healthcare, social welfare and other institutions and organizations, in securing and maintaining their tax-exempt status, complying with operational requirements mandated by tax laws, claiming available tax exemptions and limiting tax liabilities where exemptions are not available.
